Affiliate Program Terms

These Affiliate Program Terms (“Affiliate Terms”) govern participation in the Zowda Affiliate Program (the “Program”) offered by Zowda, Inc. (“Zowda,” “we,” “us,” or “our”). By applying, accepting these Affiliate Terms, or participating in the Program, you agree to them and to our general Terms of Service and Privacy Policy where applicable.

1. Eligibility and application

You must be at least 18 years old, legally able to enter this agreement, and a United States person or business. Application does not guarantee acceptance. You must provide accurate information and keep your Dub identity, tax, and payout details current. A paid Zowda subscription is not required.

2. Program administration

Zowda uses Dub to host applications and dashboards, manage affiliate links, calculate and hold commissions, collect onboarding information, and facilitate payouts. Your use of Dub may also be subject to Dub’s terms and privacy practices. Zowda determines referral eligibility, qualifying revenue, commission adjustments, and Program policy.

3. Affiliate links and attribution

Acceptance and account activation are required before you may create or share an affiliate link. Once activated, you may create approved links using the go.zowda.com domain through Dub. The most recent eligible affiliate click during the 30 days before a qualifying purchase receives credit. Once an eligible purchase is attributed, later qualifying payments follow that relationship. Create a new link when you need a different slug; renaming an existing link may cause its former URL to stop tracking.

4. Qualifying referrals

A qualifying referral must be a genuine new customer relationship attributed through an eligible affiliate link and confirmed by Zowda’s payment records. Self-referrals, fabricated transactions, duplicate identities, automated traffic, and transactions intended primarily to obtain a discount or commission are ineligible. Zowda may reject or correct attribution when the underlying evidence is incomplete, duplicated, fraudulent, or inconsistent with these Affiliate Terms.

5. Commission

The standard commission is 30% of qualifying subscription revenue from eligible payments during the referred customer’s first 12 subscription months.

A higher commission percentage applies only if Zowda gives you a specific written offer and the matching commission rate is shown for you in Dub. That written offer controls over the standard percentage only from its stated effective time. The 12-month duration and all other Program terms remain unchanged. Zowda is not required to offer an exception, and an exception offered to another affiliate does not change your commission rate.

For Stripe purchases on web and Android, qualifying revenue excludes tax and reflects discounts, credits, refunds, and negative prorations. Payment-processing fees are not deducted. For Apple App Store purchases, qualifying revenue is based on Zowda’s verified proceeds rather than the customer-facing App Store price. No commission is earned on taxes, reversed amounts, unsupported products, or otherwise ineligible transactions.

6. Customer discount

An eligible referred customer purchasing through Stripe on web or Android may receive 10% off the first payment when another promotion is not used. Other promotions take precedence. Apple App Store purchases may earn affiliate commission but do not receive this affiliate discount.

7. Holds, adjustments, and payouts

Commissions are subject to a 60-day hold. Refunds, credits, chargebacks, disputes, fraud, billing corrections, and other reversals may reduce or cancel a commission. If an adjustment occurs after payment, Zowda may apply a corresponding negative adjustment against future earnings or require repayment where permitted by law.

Eligible balances of at least $50 enter monthly payout review through Dub. Balances below $50 carry forward. The end of a hold does not guarantee payment on that date. Payouts may be delayed while onboarding, eligibility, compliance, funding, or reconciliation issues are resolved. You must complete the identity, tax, and payout steps required by Dub before receiving payment.

8. Promotion standards

Describe Zowda truthfully and make any legally required affiliate disclosure clear and easy to notice near your recommendation or link. Do not impersonate Zowda, promise financial outcomes or guaranteed earnings, use misleading or unlawful marketing, send unsolicited messages, purchase or harvest contact lists, or interfere with another affiliate’s attribution. Affiliate email campaigns require Zowda’s prior written approval during the Program beta.

9. Brand and materials

Zowda grants you a limited, revocable, non-exclusive, non-transferable license to use approved Program materials solely to promote Zowda under these Affiliate Terms. Do not alter our marks in a misleading way, register confusingly similar domains or accounts, or imply that you are Zowda or are authorized to speak for us.

10. Independent contractor and taxes

You participate as an independent contractor, not as a Zowda employee, agent, partner, joint venturer, or legal representative. You have no authority to bind Zowda or make commitments on our behalf. You control how you create compliant promotional content and are responsible for your own expenses, equipment, personnel, insurance, licenses, and business operations.

You are responsible for your own tax obligations. Dub may collect tax forms and provide tax documents or related payout services. You authorize Zowda and its providers to withhold, report, or delay amounts when reasonably required by law or when required onboarding information is missing or invalid.

11. Review, suspension, and termination

Zowda may review Program activity and request supporting information. We may correct records, suspend links or payouts, reject commissions, or end participation for violations, fraud, abuse, legal or platform risk, inactivity, or discontinuation of the Program. You may stop participating at any time. Valid obligations and adjustments that arose before termination survive as needed to settle the account.

When reasonably practicable, Zowda will identify the decision and the general reason for it. You may request one review by contacting support@zowda.com within 30 days and providing the relevant Program record and supporting information. Zowda may maintain immediate protective action while reviewing fraud, security, legal, sanctions, platform, or customer-harm concerns. The written review result is Zowda’s final Program decision.

12. Changes to the Program

We may change these Affiliate Terms, commission rates, attribution rules, discounts, eligibility, or other Program features prospectively. Material changes will be communicated through the Program, Dub, email, or an updated version posted here. Continuing to participate after the effective date of an update constitutes acceptance of the revised terms.

13. Disclaimers and liability

The Program is provided on an “as is” and “as available” basis. Zowda does not guarantee traffic, conversions, earnings, uninterrupted tracking, or continued availability. To the maximum extent permitted by law, Zowda is not liable for indirect, incidental, special, consequential, or punitive damages arising from the Program. Zowda’s aggregate liability relating to the Program will not exceed the commissions paid or payable to you during the six months before the event giving rise to the claim.

14. General terms and contact

Delaware law governs these Affiliate Terms without regard to conflict-of-laws principles. If any provision is unenforceable, the remaining provisions continue in effect.
